Bylaws Review

BylawsLegal issues are rarely fun, but basic getting regular legal can often prevent lawsuits or more difficult legal problems. Nonprofits should review their bylaws every few years to make sure they comply with current nonprofit laws, standard practices and make sure that their normal processes reflect their own rules. JRP has helped many nonprofits to update their byalws, most recently the Hemophilia Foundation of Southern California. Although reviewing bylaws may seem like a low priority and deathly boring (except to masochistic lawyers), it is important to the good governance of a nonprofit. If you are on a nonprofit board of directors, how recently have you reviewed the bylaws? Do you know what should be in them? How often do directors review the conflict of interest policy?
